Purchase Agreement

1. INTRODUCTION

1.1 Parties
This Agreement is made between (1) Verify (HK) Limited ("VERIFY") AND (2) Customer as identified on the Web-based Order Form. Customer may print and keep a copy of this Agreement.

1.2 Definitions
"Content" includes without limitation any content, software, data, information, messages and all textual, still image, graphical and other contents or materials that can be accessed by or through the Service;

"Fees" means any service fee which is payable by the Customer in connection with the Customer's use and/or access to the Service together with such other third party charges, access fees and other fees and charges as may be charged by VERIFY from time to time;

"Service" means the credit information services provided by VERIFY, which the Customer selected through the Online Order Process;

"Customer" means any company, firm, partnership or individual represented on the Order Form as the recipient of Service;

"Online Order Process" means the procedures by which the Customer places order for Service via the website at www.verifyscreening.com ("VERIFY website"); and

2. LICENSES AND MUTUAL OBLIGATIONS

2.1 Obligations of VERIFY

2.1.1
In consideration of Customer paying to VERIFY all sums due and owing under this Agreement, VERIFY shall prepare and deliver the requested Service to Customer.

2.1.2
VERIFY reserves the right at all times to amend any of the terms and conditions of this Agreement including without limitation changing the Fees or introducing new fees which amendments shall take effect 3 days after the amendments are posted on the VERIFY website.

3. Obligations of Customer

3.1
The Customer agrees to pay all Fees due to VERIFY in accordance with the terms and conditions of this Agreement and hereby authorizes VERIFY to debit its credit or charge card with the amount of any Fees which are due.

3.2
Customer hereby acknowledges that the Services, Content and the intellectual property rights and other proprietary rights thereto are proprietary to VERIFY, VERIFY's holding companies, subsidiary companies or associated companies and/or Sources and may only be used by the Customer pursuant to the terms and conditions of this Agreement.  The Products provided by VERIFY may not be copied, manipulated, republished or redistributed to third parties in any form by any means without the prior written consent of VERIFY and, where necessary, the Sources.  Nothing in this Agreement grants the Customer any right to use any of the foregoing and the rights thereto, except as expressly provided in this Agreement.

3.3
Customer shall not use the Products in a manner which violates any relevant laws or regulatory requirements.

4. DISCLAIMER OF WARRANTY AND LIMITATIONS OF LIABILITY

4.1 Disclaimer of Warranty
Customer expressly acknowledges and agrees that the Service is provided to it on an "as is" basis and that its use of Content is at its sole risk.  VERIFY makes no warranty of any kind whatsoever (save for those expressly stated in this Agreement) relating to the Service including any Content furnished through the Service, express or implied, including without limitation, non-infringement of third party rights or merchantability or fitness for any particular purpose of use.  VERIFY makes no warranty that the Service will be uninterrupted or free from error.  VERIFY endeavour to ensure the accuracy and reliability of the Content provided but do not guarantee its accuracy or reliability and accepts no liability (whether in tort or contract or otherwise) for any loss or damage arising from any inaccuracies or omissions.  Without affecting the generality of the foregoing, whilst VERIFY endeavour to ensure the accuracy and reliability of the Information provided, VERIFY or any of its related company (or any of their respective directors, officers, employees or agents) do not guarantee its accuracy or reliability and accept no liability (whether in tort or contract or otherwise) for any loss, including consequential, incidental, special or similar damages, or damages for loss of profits, revenue, data or use, resulting directly or indirectly from Customer's use of the Quote service and/or the Information or from any inaccuracies or omissions in the Information.

4.2 Limitations of Liability

4.2.1
VERIFY shall not be liable to Customer or anyone else for any direct, indirect, consequential or incidental loss, cost or damage, nor any special or punitive damage, or injury caused in whole or in part by VERIFY's negligence in procuring, compiling, interpreting, editing, reporting or delivering any Service and/or Content, including without limitation damage or loss resulting from the use of or inability to use the Service and/or Content.  In no event will VERIFY be liable to Customer for any direct, consequential, incidental, special or punitive damage, including any lost profits or lost savings, or for any third party claim of any nature whatsoever related to the Service or its use.

4.2.2
Without affecting any of the foregoing provisions, VERIFY's total liability for damages, losses and causes of action, whether in contract, tort (including negligence) or otherwise, will in no event exceed the Subscription Fee paid by Customer to VERIFY under the terms of this Agreement for a period of One Month.

4.2.3
Customer will indemnify VERIFY, its servants and agents, and hold VERIFY, its servants and agents, harmless against all claims, liability, losses, damages and expenses, including, without limitation, legal fees and costs arising out of or incurred as the result of any claims made, or litigation brought, against VERIFY, its servants and agents, as a result of the use by Customer of the Service and/or Content or part thereof.

5. TERM AND TERMINATION
5.1 Term
This Agreement shall take effect upon clicking the "Accept" button at the bottom of this Agreement during the On-line Subscription Process.

5.2 Termination and Effect

5.2.1
The Customer will not be entitled to a refund of any Fees, which have been paid to VERIFY for the requested Service.

6. GENERAL

6.1 Invalidity
If any term or provision in this Agreement shall in whole or in part be held to any extent to be illegal or unenforceable under any enactment or rule of law, that term or provision or part shall to that extent be deemed not to form part of this Agreement and the enforceability of the remainder of this Agreement shall not be affected.

6.2 Entire Agreement
This Agreement will be effective upon Customer indicating its acceptance of this Agreement by clicking on the "Accept" button below and this Agreement shall replace all previous agreements. This Agreement forms the entire understanding between the parties hereto and all other statements, representations and warranties in relation to the Service whether expressed or implied by statute, law or otherwise howsoever are hereby excluded.

6.3 Personal Data
Customer hereby authorises VERIFY to release and supply personal data of the Customer to regulatory authorities and data providers in connection with the provision of the Service and the Content to the Customer pursuant to this Agreement.  Customer acknowledges that the Personal Information Collection and Privacy Policy Statements in the VERIFY website shall form part of this Agreement and are binding on the Customer.

6.4 VERIFY's Successors and Assigns
This Agreement shall be binding upon and inure to the benefit of any VERIFY's successor companies or assigns.

6.5 Governing Law and General Provisions
The validity, construction and performance of this Agreement shall be governed by the laws of Hong Kong Special Administrative Region ("Hong Kong") and both parties hereby submit to the exclusive jurisdiction of the Hong Kong courts.

6.6 Jurisdictional Issues
The VERIFY website is controlled and operated by VERIFY from its offices within Hong Kong.  VERIFY makes no representation that materials in the VERIFY website are appropriate or available for use in other locations.  Those who choose to access the VERIFY website from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

6.7 Interpretation
(a) The section headings in this Agreement are for convenience only and shall not affect the meaning or interpretation of this Agreement or any provision thereof.
(b) A reference to a section or clause is a reference to a section or clause of this Agreement.
(c) A reference to this Agreement or another instrument includes any variation or replacement of either of them.
(d) Words in the singular include the plural, and vice versa.
(e) A reference to a person includes a reference to a firm, a body corporate, an unincorporated association or authority.
